1. Acceptance of Terms

By using Deal Dish, you agree to comply with these Terms and all applicable laws, regulations, and policies referenced herein, including our Privacy Policy, which is incorporated by reference.

These Terms apply to all users, including visitors, registered users, and paid subscribers. Continued use of the Service following any modification to these Terms constitutes acceptance of the updated Terms.

Deal Dish reserves the right to modify or update these Terms at any time. It is your responsibility to review them periodically. If you do not agree to a modification, you must discontinue use of the Service.

2. Description of the Service

Deal Dish is an AI-powered meal planning and grocery optimization platform designed to assist users in planning meals, discovering recipes, and identifying grocery deals based on dietary preferences, budget considerations, household size, and regional availability.

The Service may include, but is not limited to:

• Personalized meal and recipe recommendations.
• AI-assisted meal planning and recipe generation.
• Grocery deal discovery and price comparisons.
• Shopping list creation and management.
• Recipe saving, rating, and organization.
• Notifications related to grocery savings or meal planning.
• Optional premium or subscription-based features.

Deal Dish does not sell groceries, does not process grocery transactions, and does not guarantee pricing accuracy or availability. All pricing, promotions, and inventory information is sourced from third-party retailers and may change without notice. Deal Dish is not affiliated with or endorsed by any grocery retailer unless explicitly stated.

3. Third-Party Retailers, Data Sources, and Trademark Notice

All grocery store names, logos, trademarks, service marks, trade names, product names, brand identifiers, and associated indicia of source (collectively, "Third-Party Marks") displayed or referenced within the Service are the exclusive property of their respective owners. Deal Dish does not claim ownership of, and has no proprietary interest in, any Third-Party Marks.

The use of retailer names, logos, and brand identifiers within the Service is solely for identification and informational purposes. Such use does not constitute and shall not be construed as an indication of affiliation, sponsorship, endorsement, approval, or partnership between Deal Dish and any such retailer, unless explicitly stated in writing by Deal Dish.

Retailers and other third parties retain all rights, title, and interest in and to their respective intellectual property, including without limitation their trademarks, copyrights, and proprietary data. Deal Dish's inclusion of retailer pricing data, promotional information, or product references within the Service does not imply any commercial association, contractual relationship, or authorization from any such retailer.

Nothing in these Terms or in the Service shall be interpreted to grant you or Deal Dish any right to use any Third-Party Marks except for the limited purpose of conveying factual information to users of the Service.

4. Publicly Available Data and Information Sources

Deal Dish aggregates publicly available pricing information, promotional data, and related commercial information from a variety of sources. Such data may originate from publicly accessible sources, retailer flyers, circulars, user submissions, licensed data providers, or other lawfully obtained channels. Deal Dish does not reverse engineer proprietary systems, access password-protected or restricted systems without authorization, or obtain data through means that violate applicable law or third-party terms.

Deal Dish does not claim ownership over retailer product data, product descriptions, or product images. Product descriptions, imagery, and associated content may be subject to third-party intellectual property rights, and Deal Dish's display of such content is for informational purposes only. Pricing data presented through the Service is informational only and may change without notice. Deal Dish does not guarantee the completeness, timeliness, or accuracy of such data and is not the source of retailer pricing or availability.

The compilation, organization, presentation, and processing of publicly available information into the Service's databases and interfaces are proprietary to Deal Dish, subject to the Intellectual Property Ownership provisions set forth in these Terms.

5. Accuracy and Reliance Disclaimer

Pricing information displayed through the Service may be outdated, incomplete, or inaccurate. Retailer prices, promotions, and availability change frequently and may differ from in-store or online retailer offerings. You are responsible for verifying all prices, availability, and terms directly with the relevant retailer before relying on any information presented in the Service.

Deal Dish is not responsible for any pricing discrepancies, out-of-stock conditions, or changes to retailer offers. Availability and inventory are not guaranteed. You assume all risk when relying on displayed prices, promotions, or product information. Deal Dish shall have no liability for any loss, cost, or inconvenience arising from your reliance on pricing or availability information provided through the Service.

The Service is intended to assist you in identifying potential savings and planning meals; it does not replace verification at the point of purchase or through the retailer's own channels.

6. AI-Generated Recommendations

Recipes, meal plans, and related recommendations provided through the Service are generated algorithmically and may contain inaccuracies, omissions, or content that does not suit your individual circumstances. Nutritional information, where displayed, is estimated and is not intended as a substitute for professional nutritional or medical advice.

Content generated or suggested by the Service does not constitute medical, dietary, nutritional, or professional advice of any kind. You are solely responsible for evaluating the suitability of recipes and meal plans for your allergies, dietary restrictions, and health conditions, and for ensuring compliance with any dietary or medical requirements applicable to you.

Deal Dish disclaims all liability for any harm, loss, or adverse outcome arising from your use of or reliance on AI-generated or algorithmically produced content.

7. Eligibility and User Accounts

7.1 Eligibility

You must be at least 16 years of age to use the Service or create an account. By using Deal Dish, you represent and warrant that you meet this requirement.

7.2 Account Registration

Certain features require account creation. You agree to provide accurate, current, and complete information and to keep it updated. Failure to do so may result in suspension or termination of your account.

7.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.

You must notify Deal Dish immediately of any unauthorized use or security breach.

Deal Dish is not responsible for any losses or damages arising from unauthorized account access caused by your failure to safeguard your credentials.

7.4 Account Suspension or Termination

Deal Dish may suspend or terminate accounts that:

• Violate these Terms.
• Engage in fraudulent, abusive, or unlawful behavior.
• Compromise the security or integrity of the Service.

Account reinstatement is at Deal Dish's sole discretion.

8. Privacy and Data Use

Your privacy is important to us. All personal data is handled in accordance with our Privacy Policy, which explains how we collect, use, store, and protect your information.

8.1 Information We Collect

We may collect:

• Account details (email address, name).
• Dietary preferences, household size, and cooking habits.
• Postal code for regional grocery matching (no precise GPS).
• App usage and device-related technical data.
• User-generated content (ratings, feedback, saved recipes).

8.2 Use of Data

Collected data is used to:

• Personalize meal and deal recommendations.
• Improve AI models and system performance.
• Provide customer support.
• Enhance and develop new features.

Deal Dish does not sell personal data. Aggregated or anonymized data may be used for analytics and service improvement.

8.3 Data Security

We employ reasonable administrative, technical, and organizational safeguards to protect user data. However, no system is completely secure, and we cannot guarantee absolute security.

8.4 User Rights

You may request access, correction, deletion, or portability of your personal data in accordance with applicable privacy laws.

9. User Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

9.1 Prohibited Conduct

You may not:

• Attempt unauthorized access to systems or data.
• Interfere with the Service's operation or security.
• Upload malicious software or harmful content.
• Infringe intellectual property rights.
• Use the Service for deceptive, fraudulent, or abusive purposes.

9.2 User-Generated Content

By submitting content (e.g., reviews, ratings, feedback), you grant Deal Dish a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, modify, display, and distribute such content for operational, promotional, and product improvement purposes.

You remain solely responsible for your content and confirm that you have the necessary rights to submit it.

9.3 No Interference or Data Misuse

You may not scrape, copy, extract, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source of, or commercially exploit, any data, content, databases, or materials made available through the Service. Automated harvesting, bulk downloading, or systematic collection of Deal Dish data (including aggregated pricing, product, or deal information) is strictly prohibited. You may not resell, redistribute, or sublicense any data or content obtained from or through the Service. Unauthorized use of Deal Dish's data or systems may result in immediate termination of your access and may expose you to legal action.

Deal Dish reserves the right to take technical and legal measures to prevent such misuse.

10. Intellectual Property Ownership

Deal Dish owns and retains all right, title, and interest in and to the Service, including without limitation all proprietary systems, algorithms, software, compiled databases, meal planning logic, user interface and user experience design, and all content created by or for the platform (collectively, "Deal Dish IP"). Aggregated structured data, including data derived from or incorporating publicly available pricing or promotional information once processed, organized, or compiled by Deal Dish, constitutes part of Deal Dish's proprietary databases and is protected as Deal Dish IP.

Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, or create derivative works from any Deal Dish IP. You receive only a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms. This license does not grant you any ownership in Deal Dish IP and terminates automatically upon termination of your access or breach of these Terms.

All rights not expressly granted herein are reserved by Deal Dish.

11. Subscriptions, Payments, and Billing

Deal Dish may offer free and paid subscription plans.

11.1 Free Plan

Provides limited access to core features.

11.2 Premium Plan

May include advanced meal planning, expanded recommendations, enhanced customization, and early access to new features.

11.3 Billing and Cancellation

• Subscriptions are billed through the applicable app store.
• Payments are subject to the app store's terms and policies.
• Subscriptions automatically renew unless canceled.
• Cancellation must be completed through your app store account.
• No refunds for partial billing periods unless required by law.

11.4 Promotions and Trials

Free trials or promotional offers may be provided and are subject to additional terms disclosed at the time of the offer.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, Deal Dish disclaims all warranties, express or implied, including but not limited to implied warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, and non-infringement.

Deal Dish does not warrant that pricing information, third-party data, or any content provided through the Service will be accurate, complete, or current. Meal planning, recipe suggestions, and nutritional information are provided for informational purposes only and do not constitute medical, dietary, or professional advice.

No advice or information, whether oral or written, obtained by you from Deal Dish or through the Service will create any warranty not expressly stated in these Terms.

13. Limitation of Liability

To the maximum extent permitted by applicable law in the Province of Ontario and Canada:

(a) In no event shall Deal Dish, its affiliates, directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, goodwill, or business opportunity, arising out of or in connection with your use of the Service or these Terms, whether based in contract, tort, strict liability, or otherwise, even if Deal Dish has been advised of the possibility of such damages.

(b) Deal Dish shall not be liable for any inaccuracies, errors, or omissions in third-party data, retailer pricing, or retailer availability, or for any actions or omissions of retailers or other third parties. Deal Dish has no control over retailer policies, pricing, or terms of service, and any conflict between your use of the Service and a retailer's terms of service is solely your responsibility.

(c) Deal Dish's total aggregate liability to you for any and all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (i) the amount you paid to Deal Dish, if any, in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) fifty Canadian dollars (CAD $50.00).

(d) The foregoing limitations apply notwithstanding any failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, Deal Dish's liability shall be limited to the maximum extent permitted by law.

Your sole remedy for dissatisfaction with the Service is to discontinue use of the Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless Deal Dish, its affiliates, and their respective directors, officers, employees, agents, licensors, and successors and assigns from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with: (a) your use or misuse of the Service or any data or content obtained through the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any third-party right, including intellectual property or privacy rights; (d) any claim that your user-generated content caused damage to a third party; (e) any regulatory or enforcement action arising from your conduct; or (f) any dispute between you and a retailer or other third party relating to pricing, availability, or your use of retailer information. Deal Dish reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with Deal Dish's defence of such claims.

Your indemnification obligations shall survive termination of your access to the Service and the termination of these Terms.

15. Modifications to the Service

Deal Dish may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any resulting loss or inconvenience.

16. Termination

Deal Dish may terminate or suspend your access to the Service immediately for any violation of these Terms. Upon termination, your access will cease and stored data may be deleted.

Users may request account deletion through the app or by contacting support.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties attorn to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any disputes arising out of or relating to these Terms or the Service.

Any disputes shall be resolved through binding individual arbitration in accordance with the Arbitration Act (Ontario) or successor legislation, and you waive the right to participate in class actions or representative proceedings to the maximum extent permitted by applicable law.
